Terms of Use
Effective Date: October 2, 2026
Last Updated: October 2, 2026
These Terms of Use ("Terms") govern your access to and use of the website, services, forms, communications, and other online services provided by Truidian, Inc. ("Truidian," "we," "us," or "our").
By accessing Truidian.com, submitting information through our website, requesting assistance, or otherwise using our services, you agree to these Terms. If you do not agree to these Terms, do not use our website or services.
1. About Truidian
Truidian is a business-solutions brokerage and intermediary that helps businesses identify and connect with independent third-party providers.
Depending on a business's needs and the providers available through our network, solutions may include:
- Business capital and financing
- Invoice factoring and accounts-receivable financing
- Equipment financing
- Payment processing
- Payroll, HR, and workforce services
- Communications and telecommunications
- Software and technology
- Tax and accounting technology
- Transportation, fuel, fleet, and related business services
- Other business products and services
Unless expressly stated otherwise, Truidian is not the provider of the underlying product or service.
Our role may vary by provider and product. Depending on the relationship, Truidian may act as a referral source, broker, agent, reseller, channel partner, independent sales organization, service-bureau participant, or other intermediary as permitted by the applicable provider relationship and law.
2. Independent Third-Party Providers
Products and services introduced through Truidian may be offered and fulfilled by independent third parties.
These providers establish their own:
- Eligibility requirements
- Underwriting criteria
- Pricing
- Rates and fees
- Contract terms
- Approval decisions
- Service levels
- Product availability
- Geographic restrictions
- Compliance requirements
A provider's decision to approve, decline, price, modify, suspend, or terminate a product or service is generally outside Truidian's control.
An introduction by Truidian does not constitute approval by a provider or a guarantee that a particular product, service, rate, price, term, or outcome will be available.
3. No Guarantee of Approval or Results
Truidian does not guarantee:
- Approval for financing or any other product
- Any particular financing amount
- Any particular interest rate, factor rate, fee, or payment
- Funding within a particular period
- Savings from switching providers
- Increased revenue or profitability
- Acceptance by any provider
- Availability of any particular product
- Any particular business outcome
Any examples, descriptions, estimates, ranges, or educational information appearing on our website are provided for general informational purposes unless expressly identified as an actual offer from a provider.
4. Financing and Financial Products
Truidian may connect businesses with third-party providers of commercial financing, factoring, equipment financing, working capital, or other financial products.
Unless expressly disclosed otherwise for a particular transaction, Truidian is not the lender, creditor, factor, or financing provider.
Financing applications, underwriting, approvals, disclosures, agreements, funding, servicing, collections, and other activities may be performed directly by the applicable third-party provider.
The provider's agreements and disclosures govern the financial product.
You should carefully review all provider documentation before entering into a financial transaction.
5. No Financial, Legal, Tax, or Accounting Advice
Information provided by Truidian is intended to help businesses identify and evaluate potential providers and business solutions.
Unless expressly agreed otherwise in writing, Truidian does not provide:
- Legal advice
- Tax advice
- Accounting advice
- Investment advice
- Fiduciary advice
- Credit counseling
- Financial planning
Information available through our website or representatives should not be treated as a substitute for advice from your attorney, accountant, financial adviser, or other qualified professional.
6. Provider Selection and Matching
Truidian may use information you provide to identify providers or products that appear potentially relevant to your business.
Truidian does not represent that:
- Every provider in the marketplace has been considered;
- The providers presented are the only providers available to you;
- A provider is necessarily the lowest-cost option;
- A provider is necessarily the "best" provider available in the marketplace; or
- Every provider in a particular category participates in the Truidian network.
Our provider network may change at any time.
Businesses remain responsible for reviewing provider terms and deciding whether a particular product or service is appropriate for them.
7. Compensation and Provider Relationships
Truidian may have financial relationships with providers in our network.
We may receive:
- Referral fees
- Broker commissions
- Transaction-based compensation
- Revenue shares
- Residual commissions
- Reseller margins
- Service-bureau fees
- Marketing or channel compensation
- Other compensation
Compensation structures vary by provider and product.
The fact that Truidian may receive compensation from a provider does not increase or decrease your obligation to independently evaluate that provider and its offering.
Where applicable, additional disclosures concerning a particular relationship or transaction may be provided separately.
Material financial relationships connected to recommendations may require clear disclosure in the context where the recommendation is made; the FTC specifically cautions against relying only on a disclosure buried in general terms.
8. Information You Provide
You agree that information you submit to Truidian will be accurate and complete to the best of your knowledge.
You agree not to:
- Impersonate another person or business
- Provide intentionally false or misleading information
- Submit information you are not authorized to provide
- Use our services for fraudulent or unlawful purposes
- Attempt to obtain products or services through deception
- Interfere with our website, systems, providers, or operations
You authorize Truidian to use information you provide to respond to your request, evaluate potential provider relationships, communicate with you, and facilitate introductions as described in our Privacy Policy.
9. Sharing Information With Providers
When you request assistance with a business product or service, Truidian may share relevant information with participating providers that may be able to respond to your request.
Depending on the product, a provider may request additional information directly from you.
Information collected directly by a provider is governed by that provider's own privacy policy, agreements, and applicable law.
For more information regarding Truidian's information practices, please review our Privacy Policy.
10. Communications
When you provide contact information to Truidian, you authorize us to communicate with you regarding your inquiry, requested services, provider introductions, applications, existing relationships, and related business matters.
Communications may occur by email, telephone, or other methods you have authorized.
Marketing calls or text messages, where used, will be subject to applicable consent requirements and any additional disclosures presented when you provide your telephone number.
Consent to receive marketing communications is not a condition of purchasing a product or service unless expressly permitted by law.
You may opt out of marketing emails using the unsubscribe mechanism contained in the message.
Where applicable, you may opt out of marketing text messages by replying STOP.
11. No Obligation to Proceed
Submitting an inquiry to Truidian does not obligate you to purchase, accept, or enter into an agreement with Truidian or any provider.
Likewise, Truidian is not obligated to identify a provider, submit an application, facilitate a transaction, or continue providing services.
Either party may generally discontinue an inquiry or prospective relationship unless otherwise provided by a separate written agreement.
12. Provider Agreements Control
If you choose to proceed with a third-party provider, your relationship with that provider may be governed by separate contracts, disclosures, privacy policies, terms, and conditions.
In the event of a conflict concerning the provider's underlying product or service, the applicable agreement between you and that provider controls your relationship with that provider.
Truidian is not a party to a provider agreement unless expressly identified as a party in that agreement.
13. Third-Party Websites
Our website may contain links to websites, applications, portals, or services operated by third parties.
Links are provided for convenience or to facilitate provider relationships.
Truidian does not control third-party websites and is not responsible for their content, availability, privacy practices, security, products, or services.
Your use of a third-party website is subject to that third party's terms and policies.
14. Intellectual Property
The Truidian website and its original content, branding, logos, graphics, design elements, text, software, and other materials are owned by or licensed to Truidian and are protected by applicable intellectual-property laws.

Nothing in these Terms transfers ownership of Truidian intellectual property to you.

- Violate applicable law
- Commit or facilitate fraud
- Transmit malicious software
- Attempt unauthorized access to systems or data
- Harvest personal information
- Interfere with website operation
- Submit fraudulent applications or referrals
- Misrepresent your identity or authority
- Infringe another person's intellectual-property or privacy rights
- Engage in conduct reasonably likely to damage Truidian, our users, or our providers
We may restrict or terminate access where we reasonably believe misuse has occurred.
16. Website Availability and Accuracy
We attempt to maintain accurate and useful information, but business products, provider requirements, compensation structures, rates, eligibility criteria, and other information may change without notice.
We do not warrant that every page, description, provider listing, or other item of information will always be current, complete, or error-free.
We may modify, suspend, remove, or discontinue website features or services at any time.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TRUIDIAN WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TRUIDIAN DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.
TRUIDIAN DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUIDIAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUIDIAN IS NOT RESPONSIBLE FOR LOSSES ARISING FROM THE ACTS, OMISSIONS, PRODUCTS, SERVICES, UNDERWRITING DECISIONS, CONTRACTUAL PERFORMANCE, DATA PRACTICES, OR OTHER CONDUCT OF INDEPENDENT THIRD-PARTY PROVIDERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUIDIAN'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO YOUR USE OF THE WEBSITE OR TRUIDIAN'S MATCHING OR REFERRAL SERVICES WILL NOT EXCEED THE GREATER OF:
(A) $500; OR
(B) THE AMOUNT YOU PAID DIRECTLY TO TRUIDIAN FOR THE APPLICABLE SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Truidian, its officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising from:
- Your unlawful use of our website or services
- Information you knowingly provide without authorization
- Fraud or intentional misrepresentation by you
- Your material violation of these Terms
- Your infringement of another person's rights
This provision does not require you to indemnify Truidian for Truidian's own conduct where such indemnification is prohibited by law.
20. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to any enforceable arbitration agreement or other mandatory legal requirement, disputes arising from these Terms or your use of Truidian's services will be brought in the appropriate state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.
21. Arbitration
Truidian has not adopted a binding-arbitration or class-action-waiver provision at this time. Section 20 above provides a straightforward California governing-law and Los Angeles County venue provision for disputes arising from these Terms.
22. Changes to These Terms
We may update these Terms periodically to reflect changes in our services, provider relationships, business practices, or applicable requirements.
The revised Terms will become effective when posted unless otherwise stated.
The "Last Updated" date at the top of this page identifies the most recent revision.
Your continued use of the website following an update constitutes acceptance of the revised Terms to the extent permitted by law.
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
24. No Waiver
Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.
25. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms or disclosures expressly applicable to a particular Truidian service, constitute the agreement governing your general use of the Truidian website and services.
Separate agreements may govern specific transactions, partner relationships, provider relationships, or services.
